General terms of sale

Article 1 : Préambule

You are using the on-line sales service of Alpaderm SARL (hereafter called “Vendor” or “we”), a Swiss company based in Ardon, registered with the Swiss trade registry under license number CH-626.4.009.486-4. This service is offered to you by www.alpaderm.com, and is for buyers in Switzerland, France (metropolitan) and Benelux. Alpaderm will strive to expand its product sales to other regions as soon as possible. Please read the general terms for using the Alpaderm internet site, conditions related to handling personal data and other information, in particular as related to the privacy and security of computer data, at the following Internet address: http://www.alpaderm.com/en/general-terms.php. The present General Terms of Sale is systematically displayed to every buyer (hereafter called “Buyer” or “you”) before continuing with the product ordering process on the Alpaderm Internet site. The present General Terms of Sale supersedes any other terms or conditions.

By ordering products via this site, you confirm that you fully and unconditionally accept the General Terms of Sale, which supersedes all other documents, such as, but not limited to, brochures and catalogues transmitted by the vendor, which are for information purposes only.

The vendor is thus not obligated to take into account any contradicting conditions pointed out by the buyer, unless explicitly accepted by the vendor, regardless of when said contradicting conditions are brought to the vendor’s attention.

If the vendor chooses to grant an exception to the present General Terms of Sale at a given time, it does not imply in any way that the vendor waives the right to enforce said terms and conditions at a later time.

Our products are certified by ECOCERT and COSMEBIO . We offer our customers a professional guarantee based on the best business practices of a trustworthy company.

Article 4 : Offers and prices

At this time, our sales offers are limited to the geographical regions of Switzerland, France and Benelux. Product prices are indicated in Swiss francs and Euros, including tax. Shipping and handling charges are additional (see terms of delivery). < /br /> Current prices are contractually guaranteed through December 31, 2007, except in case of a change in the VAT rate.

Our product offers are valid within the limits both of the offer’s duration of validity, as well as stock availability.

Article 5 : Subscriptions and other offers

Alpaderm offers buyers a subscription service for some of its products, as well as the opportunity to take advantage of other special offers. Several types of subscriptions and offers are available, and are described when you click on specific products on the Internet site.

The current subscriptions and offers are as follows:

Subscription 6: This is a 6-month subscription, based on 6 consecutive deliveries of the product of your choice on the 25th of each month. Payment for each product is due on the last day of the month in which it was delivered. This offer gives you a 15% discount off the product’s regular selling price. Shipping is free of charge. If you cancel the contract before the end of the 6 month period, any 15% discounts already granted shall be reimbursed to Alpaderm, as well as shipping charges if the total value of the products already delivered under the terms of the subscription does not exceed CHF 150 or 100 €. The subscription is not automatically renewed at the end of the term.

Subscription 12: This is a one-year subscription, based on 12 consecutive deliveries of the product of your choice on the 25th of each month. Payment for each product is due on the last day of the month in which it was delivered. This offer gives you a 20% discount off the product’s regular selling price, as well as a variety of gifts to be provided by Alpaderm at its discretion. Shipping is free of charge. If you cancel the contract before the end of the 12 months, any 20% discounts already granted shall be reimbursed to Alpaderm, as well as shipping charges if the total value of the products already delivered under the terms of the subscription does not exceed CHF 200 or 130 €. The subscription is not automatically renewed at the end of the term.

Duo Offer: You are granted a 5% discount on the purchase of duo packs (two of the same product).

Trio Offer: You are granted a 10% discount on the purchase of trio packs (three of the same product).

Though we will do our best to keep you informed, these subscriptions and offers are subject to change over time without notice. Please make sure you verify the current terms that are indicated when you click on a particular product on the Internet site. The general terms indicated in the present General Terms of Sale are fully applicable to new offers unless specifically mentioned otherwise.

Article 6 : Orders and transaction confirmation

When you place an order, it is important to indicate your telephone number, postal address and e-mail address. When you validate the order, you confirm that you fully and unconditionally accept the order and the present General Terms of Sales in their entirety. Your order is then transferred to our customer service department for processing. We recommend that you print a copy of your order to keep for your records.

We reserve the right to refuse customer orders in the event of a payment dispute with respect to a previous order.

When your order is received, a detailed order confirmation will be send to the e-mail address you provide. This order confirmation will include the exact billing amount and the delivery details for the order. This order confirmation indicates our acceptance of your order and validates the transaction. You accept that our order-taking system constitutes proof of the nature and date of the order.

Article 7 : Product availability

Our product offers are only valid for the duration of said offers and within the limits of available stock. For this reason, product availability is provided to you at the time you place your order. If a given product is not available after an order has been placed, we will inform you by e-mail within 5 working days and indicate the expected shipping date. If you wish, you may cancel your order (with reimbursement on your credit card account) or exchange it for other products by calling us at +41 22994 57 30 or by sending e-mail to: info@alpaderm.com

Article 8 : Secure payment

Payment for your order is handled via the payment method authorised for the product offer in question. On-line payment via credit/debit cards is entirely secure. The entire transaction is carried out using encryption technology via a bank validation server in SSL mode (Secure Socket Layer). This system ensures that your purchases are completely secure.

In exchange for commitments on our behalf, we kindly request that you respect the payment conditions that we offer you. It is essential for payment to be made promptly when you’re your payment is considered late as soon as the payment date has passed without payment, without the need for prior notification by the vendor.

If your payment for is late, the vendor may suspend all current orders, without excluding the possibility of pursuing other courses of action. Any sum remaining unpaid by the expected due date will, in full accordance with the law, incur a moratorium interest penalty of 5% as of the due date, without prior notification. The buyer must reimburse any and all collection fees. In addition, the buyer must pay a flat fee of CHF 15, plus other fees related to collection.

In case an order is not paid in full or in part upon the predetermined due date, the amount due for other orders becomes payable immediately following notification by registered mail with acknowledgement receipt.

Any partial payment shall first be attributed to the buyer’s current balance, then to the oldest overdue amounts.

The buyer must reimburse any and all fees related to the collection of due payments.

Article 9 : Payment for subscription orders

In case of payment by Postcard or monthly billing, the subscription is activated upon receipt of your payment by Alpaderm. Direct debit is not possible with these forms of payment.

In case of payment by credit/debit card following your acceptance of the present General Terms of Sale, you explicitly authorise Alpaderm to debit, without further notice and according to the specified terms, your credit card for the amount corresponding to the monthly subscription fee and/or other services that you may choose.

Alpaderm will debit your credit/debit card using the coordinates provided at the time the order was placed. At any time, you may change the coordinates of the bank or credit card to be debited by contacting Alpaderm customer service (info@alpaderm.com)

Alpaderm must be able to debit your credit/debit card upon the due date of each payment as required for your subscription. You agree that your credit/debit card shall be valid, that the credit limit will not be reached and the card will thus not be blocked, and that your bank or postal account contains sufficient funds to allow Alpaderm to carry out the required transaction.

If the credit/debit card expires, or if the authorized credit or debit limit has been reached, Alpaderm will send you notification by e-mail to call this situation to your attention. In the meantime, your subscription will be suspended and future deliveries will only resume upon reception of amounts due.

Article 10 : Cancellation in case of non-payment

In case the buyer does not pay for merchandise within the payment period, the vendor has the right to cancel the sales contract, request return of said merchandise and to demand payment of punitive damages to cover the loss of revenue and other additional costs incurred because of non-payment.

If payment for a subscription does not occur within 20 days following the expected due date, Alpaderm will consider that you wish to draw a term to your subscription, and said subscription will be cancelled immediately unless otherwise agreed explicitly by Alpaderm and the buyer. In this case, as described in Article 5 above, any discounts already granted by Alpaderm shall be reimbursed by the buyer, as well as delivery fees in case products already delivered under the subscription agreement do not exceed CHF 130 or 80€. With respect to the period preceding cancellation, any and all sums remaining unpaid upon their expected due date will, in full accordance with the law, incur a moratorium interest penalty of 5% as of the due date, without prior notification. The buyer must reimburse any and all collection fees. In addition, the buyer must pay a flat fee of CHF 15, plus other fees related to collection.

Article 11 : Delivery and shipping charges

Alpaderm will deliver the products you order directly to the shipping address indicated on the order form, by postal mail. It is your responsibility to verify product condition upon receipt and to inform the vendor directly in case of any defect, loss, damage, etc.

On the invoice accompanying your delivery, we will indicate your participation for shipping and handling charges separately: an amount of CHF 7.50 for deliveries in Switzerland; 8.- € participation for customers elsewhere in France (Metropolitan), Germany and Benelux. Clearly, Alpaderm fully covers charges on partial shipments, if any. Minimum value CHF 50.-

Article 12 : Consumer guarantees

The vendor guarantees that merchandise is manufactured, checked and packaged without any physical defects.

This guarantee does not cover defects that the buyer may discover upon examination of said merchandise.

If product defects are revealed after delivery, the buyer shall request application of the product guarantee in writing. This request shall include the invoice number and the reason for requesting replacement of the product(s) in question.

Article 13 : Intellectual property

In accordance with the laws governing the ownership of literary and artistic rights or other similar rights, the present website and all the component parts, brands, drawings, models, logotypes, visuals, etc. on this website as well as their compilation are the exclusive property of Alpaderm or its suppliers; the latter grant no licence or any other right to web users other than to consult this website.

The reproduction or use of all or any part of these components are only authorized for informational purposes and for personal and private use; any reproduction or use of copies made for other purposes is explicitly forbidden. Any breach shall be deemed counterfeit and punishable under the laws governing intellectual copyright, unless express prior written authorisation has been issued at the sole discretion of Alpaderm.

Article 14 : Legal

This contract is subject to Swiss law. The United Nations convention on contracts for the international sale of goods of 11 April 1980 (Vienna Convention) is explicitly not applicable. The language used for this contract is English. The Swiss court shall be the only competent body to handle disputes. The place of jurisdiction for this contract is Lausanne.
